TERMS OF SERVICE

Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Citely ("Citely," "we," "us," or "our") governing your access to and use of getcitely.org (the "Site") and any scan, audit, report, or Watch monitoring service we provide (together, the "Service"). By accessing the Site or using the Service, you agree to these Terms. If you do not agree, do not use the Site or Service.

1. The Service

Citely analyzes publicly available pages of a website you submit and produces informational feedback — such as a fix list, score, or report — about how AI assistants (including but not limited to ChatGPT, Claude, Perplexity, Gemini, and Copilot) may interpret and cite that content. Watch, where available, provides ongoing monitoring of the same on a recurring basis. The Service is informational and advisory only.

2. Eligibility & your account

You must be at least 18 years old and able to form a binding contract to use the Service. You represent that you have the authority to submit any website URL you provide to us for scanning — for example, because you own, operate, or are authorized to represent the business behind it. You're responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

3. Acceptable use

You agree not to: (a) use the Service to scan or submit a website you are not authorized to submit; (b) interfere with or disrupt the Site, Service, or servers/networks connected to it; (c) reverse engineer, scrape, or attempt to extract the underlying methodology or source code of the Service, other than through normal use; (d) use the Service to build a directly competing product; or (e) use the Service for any unlawful purpose.

4. Third-party AI engines

Citely is not affiliated with, endorsed by, or sponsored by OpenAI, Anthropic, Perplexity, Google, Microsoft, or any other AI provider referenced on the Site. Those services are operated independently, change their behavior without notice, and are entirely outside our control. We do not control, and cannot guarantee, whether, how, or when any AI assistant cites, ranks, or describes your business — before, during, or after using the Service.

5. Fees & cancellation

Where the Service is offered on a paid basis, applicable fees and billing terms will be presented to you at signup. Unless stated otherwise at signup, paid plans may be canceled at any time, effective at the end of the then-current billing period; fees already paid are non-refundable except as required by law or as we otherwise state in writing.

6. Intellectual property

The Site, Service, and all associated content, software, and materials (excluding your own website content and data) are owned by Citely or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business's internal purposes. You retain all rights to the content of your own website.

7. Disclaimer of warranties

The site and service are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any scan, audit, score, or recommendation is accurate, complete, or current, or that following our recommendations will improve your visibility, ranking, traffic, leads, or revenue in any AI assistant, search engine, or other channel. You use the Service, and act on any output of the Service, at your own risk and discretion.

8. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Citely, its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, the site or service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, citely's total cumulative liability arising out of or relating to these terms or the service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the total amount you paid us for the service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred u.s. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Citely and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including by submitting a website you were not authorized to submit; or (d) any decision you make or action you take based on output from the Service.

10. Termination

We may suspend or terminate your access to the Site or Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to our business interests. You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination (including Sections 7, 8, 9, 12, and 13) will survive.

11. Changes to the Service or these Terms

We may modify or discontinue the Site or Service, in whole or in part, at any time. We may also update these Terms from time to time; if we make material changes, we'll update the "Last updated" date above. Your continued use of the Site or Service after a change becomes effective constitutes acceptance of the revised Terms.

12. Governing law & disputes

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

13. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Citely regarding the Site and Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
